Sharecare jumps amid takeover proposal for $1.35 to $1.80 a share

Sharecare (NASDAQ:SHCR), the health and wellness company co-founded by television personaly Mehmet Oz and WebMD founder Jeff Arnold, surged 25% after one of the company’s board members disclosed he offered to acquire the health and wellness firm earlier this month.
Sharecare (SHCR) board member John Chadwick, on behalf of Claritas Capital, submitted a preliminary non-binding proposal on Oct. 3 to purchase the company’s shares for cash consideration of between $1.35 and $1.80 a share, according to an amended 13D filing on Wednesday. Chadwick, along with Claritas Capital, owns 37 million shares, or a 10.4% stake in Sharecare.
The Sharecare board (SHCR) has not yet responded to the offer. At the $1.80 per share price, the offer would represent a more than 90% premium to the company’s closing price on Tuesday.
Sharecare (SHCR) went public through a SPAC deal in July 2021. The shares have plunged 38% through Tuesday since going public through the SPAC deal.
